Code of Conduct

As required under Section 149 of the Companies Act, 2013 and Clause 49 of the Listing Agreements amended up to date, Tirupati Industries (India) Limited hereby notifies the 'Code of Conduct’ for the Board Members and Senior Management of the Company.

All the Directors and members of the Senior Management are mandatorily required to understand and adhere to the code/standards prescribed herein, including any amendments/modifications/replacements hereof as may be notified by the Board of Directors of the Company from time to time, in the course of their dealings, exercise of powers and discharge of their duties, responsibilities and obligations in relation to the Company and its transactions.

Familiarization Programme for Independent Directors

The Clause 49(II)(B)(7) of the Listing Agreement (effective from October 1, 2014), stipulates that a Company shall familiarize the Independent Directors with the Company, their roles, rights, responsibilities in the Company, nature of the industry in which the Company operates, business model of the Company, etc., through various programmes.

In view of the above the Company has formulated a Familiarization Programme for its Independent Directors.

Whistle Blower Policy

Clause 49 of the Listing Agreement between listed companies and the Stock Exchanges has been amended which would be effective from October 1, 2014. Amended Clause 49, inter alia, provides for a mandatory requirement for all listed companies to establish a vigil mechanism called ‘Whistle Blower Policy’ for directors and employees to report concerns about unethical behaviour, actual or suspected fraud or violation of the company’s code of conduct or ethics policy to freely communicate their concerns about illegal or unethical practices.

Accordingly, this Whistle Blower Policy has been formulated with a view to provide a mechanism for employees of the Company to approach the Chairman of the Audit Committee of the Company.

CODE OF INTERNAL PROCEDURES AND CODE OF CONDUCT FOR PREVENTION OF INSIDER TRADING

The Securities and Exchange Board of India (SEBI) has vide the Securities & Exchange Board of India (Insider Trading) (Amendment) Regulations, 2002, amended the Securities & Exchange Board of India (Insider Trading) Regulations, 1992. These regulations shall now be called “Securities & Exchange Board of India (Prohibition of Insider Trading) Regulations, 1992” (hereinafter referred to as “the Regulations”).

The Regulations now make it mandatory for every listed public Company to lay down a Code of Internal Procedures and Code of Conduct for Prevention of Insider Trading to be observed.

RECORDS AND ARCHIVES MANAGEMENT POLICY

The Board of Directors of Tirupati Industries (India) Limited, has adopted this Records and Archives Management Policy to establish the framework needed for effective preservation/maintenance of documents and records of the Company required to be maintained under the SEBI (Listing Obligations and Disclosure Requirements) Regulations, 2015 ("the Listing Regulations").

Goods and Services Tax (GST) Registration

As you are aware of that the Government of India has proposed to implement the Goods & Services Tax (GST) shortly and thus it is necessary for all the business entities to enrol and to obtain the Provisional GST Registration ID.
